Terms of Service

1. Agreement

By accessing or using NanoSynthc ("Service"), operated by Createnano LLC ("Company"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

NanoSynthc is a synthetic data generation platform that creates privacy-safe, statistically faithful datasets for AI training, testing, and research. The Service includes:

• Web dashboard for data profiling, generation, and download
• RESTful API for programmatic access
• Pre-built industry templates for instant data generation
• Schema-only generation capabilities
• Bias detection and fidelity reporting

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials, including API keys. You must immediately notify us of any unauthorized use.

You may not share accounts or API keys across multiple organizations. Each organization must have its own account.

4. Subscription Plans & Payment

Free Tier (Starter): Available at no cost with usage limits as described on the Pricing page. We reserve the right to modify free tier limits with 30 days' notice.

Paid Plans: Billed monthly or annually via Stripe. Prices are in USD and exclude applicable taxes. You authorize us to charge your payment method on a recurring basis.

Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period. No refunds for partial periods.

Changes: We may change pricing with 30 days' notice. Price changes will apply at the start of your next billing period.

5. Acceptable Use

You agree not to:

• Use the Service to generate data that impersonates real individuals
• Use generated data to commit fraud, identity theft, or any illegal activity
• Circumvent usage limits or rate limiting mechanisms
• Reverse-engineer, decompile, or disassemble the Service
• Use the Service to develop a competing synthetic data product
• Upload data that you do not have the legal right to process
• Use the Service in violation of any applicable law or regulation

6. Data Ownership

Your Data: You retain all rights to data you upload to the Service. You grant us a limited license to process your data solely for the purpose of providing the Service.

Generated Data: Synthetic data generated by the Service is owned by you. You may use it for any lawful purpose, including commercial use, AI model training, and sharing with third parties.

Our IP: The Service, including its algorithms, software, models, and documentation, remains the intellectual property of Createnano LLC.

7. Privacy & Data Processing

Our collection and use of personal data is governed by our Privacy Policy. For Enterprise customers processing personal data, we offer a Data Processing Agreement (DPA).

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that:

• The Service will meet your specific requirements
• Generated data will achieve any particular level of statistical fidelity
• The Service will be uninterrupted, secure, or error-free
• Generated data will satisfy any specific regulatory requirement in your jurisdiction

You are responsible for independently verifying that generated data meets your compliance and quality requirements.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATENANO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claim arising from or related to the Service shall not exceed the amounts paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Createnano LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including ownership, disclaimers, and liability limitations) will survive termination.

12. Governing Law

These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Bernalillo County, New Mexico.

13. Changes

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Continued use after changes constitutes acceptance.
